Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the website and services offered by BrightMinds Web Services, a Delhi-based, women-owned group of independent freelancers serving Clients across India and internationally in online mode ("we", "us", or "our"). By engaging our services, submitting an inquiry, or making a payment, you ("Client", "you") agree to be bound by these Terms.
1. Our Services
We provide website development, WordPress development, full stack/MERN development, app development, digital marketing (including SEO, Meta Ads, Google Ads, YouTube and Instagram marketing, email and WhatsApp marketing), graphic design, and online technical classes. The exact scope of work for any project is agreed upon between the Client and our team before work begins, typically via WhatsApp, email, or a written quotation.
2. Payments and Fees
- Payment terms (advance, milestone-based, or full payment) will be communicated and agreed upon before a project begins.
- Once a payment has been made and work has commenced, that payment is non-refundable, except where required by applicable law.
- Delays or additional costs caused by incomplete, delayed, or inaccurate information/content provided by the Client are the Client's responsibility and may affect delivery timelines.
- Any request for services outside the originally agreed scope may incur additional charges, to be discussed and confirmed before proceeding.
3. Code of Conduct & Respectful Communication
As a Delhi-based, women-owned group of independent freelancers, we are committed to providing a safe, respectful, and professional working environment for every member of our team. We voluntarily uphold the spirit and principles of applicable Indian laws relating to the protection and dignity of women, including the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013, and the relevant provisions of the Bharatiya Nyaya Sanhita, 2023 (and the Indian Penal Code, 1860, where applicable), to the extent relevant to our mode of engagement with Clients.
The following conduct standards apply to all Clients without exception:
- Clients must communicate with our team members in a respectful, professional manner at all times, across all channels (calls, WhatsApp, email, video calls, or in-person meetings, if any).
- Any use of abusive, vulgar, offensive, threatening, discriminatory, or sexually inappropriate language directed at any team member — including but not limited to our women team members — is strictly prohibited.
- Any form of harassment, unwanted advances, inappropriate personal remarks, requests, or misconduct of a sexual or gender-based nature directed at any team member will not be tolerated under any circumstances.
- Any attempt to contact, follow, or engage a team member outside official project communication channels for non-professional purposes is strictly prohibited.
- Team members have the right to immediately end any call, chat, or meeting, and to escalate the matter internally, if they experience any conduct described above.
In the event a Client threatens, intimidates, or makes any woman team member feel unsafe or disrespected through inappropriate remarks, sexual harassment, or intimidating conduct, we reserve the right to take the following actions, without limitation:
- Immediately terminate all services and communication with the Client, with no refund of amounts paid;
- Preserve and use all chat logs, messages, call recordings (where available), and other communication as evidence;
- File a police complaint / First Information Report (FIR) and report the matter via the National Cyber Crime Reporting Portal (cybercrime.gov.in) where the conduct occurred through digital/online communication;
- Pursue action under applicable provisions of the Bharatiya Nyaya Sanhita, 2023, including but not limited to provisions relating to criminal intimidation, insulting the modesty of a woman, and stalking, as well as relevant provisions of the Information Technology Act, 2000, relating to online harassment;
- Pursue any other civil or criminal remedy available under Indian law.
This clause is intended to protect the safety and dignity of our team and does not limit any other legal right or remedy available to an affected team member individually under Indian law.
4. Scope of Engagement & Client Responsibility
Our team members engage with Clients strictly for the purpose of delivering the agreed professional services (web development, app development, digital marketing, technical classes, etc.). Any request, communication, or expectation from a Client that falls outside this professional scope is not part of our service offering.
5. Client Obligations
The Client agrees to:
- Provide accurate, complete, and timely information required for the project
- Make payments as per the agreed terms
- Communicate respectfully with our team at all times
- Use our services and any delivered work for lawful purposes only
6. Limitation of Liability
We strive to deliver quality work; however, to the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability for any claim relating to a project shall not exceed the amount paid by the Client for that specific project.
7. Termination of Services
We reserve the right to suspend or terminate services to any Client who violates these Terms, including but not limited to the Code of Conduct outlined in Section 3, without any refund obligation for payments already made toward work performed or in progress.
8. Intellectual Property
Upon full payment, ownership of the final delivered work (e.g., website, app, designs) transfers to the Client, unless otherwise agreed in writing. We retain the right to showcase completed work in our portfolio unless the Client specifically requests confidentiality in writing.
9. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices or for legal reasons. Any updates will be posted on this page along with a revised "Last Updated" date. Continued use of our services after such updates constitutes acceptance of the revised Terms.
10. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019, to the extent applicable.
Any disputes arising out of or in connection with these Terms or our services shall first be attempted to be resolved through good-faith discussion between the parties. If a resolution cannot be reached, the dispute shall be subject to the exclusive jurisdiction of the courts of Delhi, India.
